1. What BREAIX provides
BREAIX provides software and digital infrastructure for participants in global commodity markets. The platform can organize identities, documents, communications, workflows, intelligence and operational records in one environment.
BREAIX is not a broker, trading company, importer, exporter, bank, insurer, inspection body or party to the underlying transaction. Access to the platform does not create a mandate, agency, fiduciary relationship, partnership or guarantee that a transaction will close.
2. Accounts and authority
A user must provide information that is accurate, current and sufficient for the role they are claiming. A person creating an account or submitting company information represents that they are authorized to act for the relevant individual or organization.
Credentials are personal to the authorized user. Users must protect passwords, authentication factors and invitation links, and must notify BREAIX promptly when an account may have been compromised or used without authorization.
- Do not impersonate a person, company, mandate, producer, buyer or institution.
- Do not create duplicate or misleading identities to bypass a review.
- Do not give another person access to a role or document they are not authorized to use.
3. Acceptable platform use
The platform may be used only for lawful commercial, operational, analytical and communication purposes connected to the user's legitimate activity. Users remain responsible for the legality, accuracy and completeness of the information they submit and the decisions they make from it.
The terms of an underlying sale, purchase, shipment, financing, insurance, inspection or other transaction must be agreed separately by the relevant parties. A record, status, match, alert or recommendation inside BREAIX is not a substitute for a signed agreement or independent verification.
4. Content, suspension and changes
Users retain the rights they already hold in documents and content they submit, while granting BREAIX the limited permissions needed to host, secure, display and process that content to provide the service. Users must have the rights and permissions required to submit it.
BREAIX may restrict, suspend or end access when necessary to protect users, investigate suspected misuse, comply with law, respond to a security or compliance concern, or maintain the platform. These terms may be updated as the service, law and operating model develop. The effective version and any material change will be identified when the final document is approved.
5. No promise about an underlying deal
Information on the platform is provided for the operational context in which it appears. BREAIX does not warrant the quality, availability, ownership, origin, solvency, authority or performance of a counterparty, commodity, document, route, payment or opportunity presented by a user.
Users must perform the commercial, legal, financial, sanctions, quality and logistics checks appropriate to their own decision before committing money, goods, documents or reputation.
