Contracts & Deal Room

A contract is not a file. It is a room.

Every operation opens its own private Deal Room, where buyers, sellers, brokers and authorized participants work in the same environment, sharing documents, revisions and decisions in a way that stays organized and traceable.

Instead of treating contracts as files, BREAIX turns each operation into a protected space of its own, which removes the dozens of e-mails, the WhatsApp groups and the documents scattered across four drives.

Each deal generates its Deal Room automatically. Only authorized participants hold access to it, and what they see inside is decided by the role they hold in that operation.

Inside the room

Participants, documents and status, on one screen

On the left, who is in the operation and what each is allowed to reach. On the right, every document with its version, its status and who moved it last.

One room per deal

What stays inside it

Everything the operation runs on is centralized in the room that produced it, with the full history of the negotiation attached.

  • Contracts
  • LOI
  • ICPO
  • FCO
  • SCO
  • NCNDA
  • POP
  • Certificates
  • Banking documents
  • Logistics documentation
  • Inspections
  • Attachments

Organized inside the operation itself, not in a folder structure someone has to maintain.

Document lifecycle

Nothing is overwritten, nothing disappears

Each document carries its own life cycle, controlled by the platform:

  • Versions
  • Change history
  • Upload date
  • Who uploaded it
  • Who approved it
  • Document status
  • Pending documents
  • Expired documents
  • Superseded documents

No file is lost. No version is overwritten. Every change stays on the record.

Access control

Six participants in one operation, six different views of it

Permission is not a setting someone remembers to apply. It is the shape of the room for each participant who enters it.

Broker
Full access to the operation: every document, every participant, every thread.
Buyer
Only the documents addressed to their company. The supplier's file set is not theirs to see.
Supplier
Only their own documentation, and the requests directed at it.
Bank
Only the financial documents authorized for release: the instrument, not the margin.
Inspection
Only the files related to quality: specs, sampling, certificates, reports.
Logistics
Only shipping documentation: booking, transport, delivery instructions.
Corporate security

The room is the perimeter

Documents stay protected inside the platform infrastructure, not in transit between inboxes:

  • File encryption
  • Permission control
  • Complete audit trail
  • Immutable history
  • Access logging
  • Automatic versioning
  • Continuous backup
  • Secure sharing
  • Controlled download
  • Digital signature (when integrated)
Document intelligence

Reading the paperwork, not just storing it

BREAIX Intelligence reads what arrives in the room. Under development, and stated as such rather than implied away:

  • Automatic identification of the document type
  • Intelligent reading of the information inside it
  • Comparison between versions
  • Fast retrieval by keyword
  • Inconsistency alerts
  • Identification of missing documents
  • Automatic organization by category
Connected to the operation

Contracts do not live on their own

A contract is updatedthe negotiation advances a stage
A document is approvedthe next stages unlock
A pending item appearseveryone responsible is notified
A version is filedtraceability records it the same moment

Documentation stops being a set of files and becomes part of the operational flow of the negotiation.
